1. Licensed use, not software ownership
Subject to the released offer, confirmed entitlement and applicable agreement, AlgoTrader grants a limited, non-exclusive right to use the entitled compiled, protected strategy in your supported NinjaTrader Desktop environment. Use is associated with the verified native identity. The right lasts for the applicable trial or confirmed paid period, or has no scheduled expiry for a confirmed permanent free licence.
A package download does not sell or transfer the underlying source code, copyright, trade secrets or marks. Exposed parameters may be configured for your own independent run. No source-code access, customization service or right to create and distribute derivative products is included unless separately agreed.
2. Individual, free and library scope
An individual subscription covers the selected product and its available updates. A permanent free licence covers that free product without a scheduled expiry; it does not confer rights to every future paid release. A one-time native trial covers its displayed period and does not automatically create a paid subscription.
All Inclusive includes every current and future released AlgoTrader NinjaTrader strategy during current library access, with no strategy-count limit. Native activation is still product-specific. Unlimited strategies does not mean unrestricted users, licensed identities, devices or simultaneous native sessions. NinjaTrader's own rules continue to apply.
3. Identity and activation
Use the same verified email for AlgoTrader and the NinjaTrader identity to which the product licence is issued. You must use the correct native account when the platform checks access. A new computer, login or browser does not create another trial or extend access.
Do not share credentials or permit another person to use your licensed identity as their own. Contact support for a reviewed identity transfer. Account changes or deletion requests do not silently transfer a product licence. Native platform and release requirements may restrict installation and sessions independently of the subscription.
4. Restrictions and lawful exceptions
Do not redistribute, sell, sublicense, rent onward or publish a protected package, provide it as a shared service to others, expose private download credentials, remove rights notices, or circumvent licence, account or protection checks. Do not decompile, reverse engineer or extract protected source except to the extent expressly permitted by applicable law despite this restriction.
These restrictions do not eliminate nonwaivable rights, legally permitted interoperability work or rights granted by an applicable third-party software licence. Notices accompanying dependencies remain applicable to those components. An AlgoTrader subscription does not change another licensor's rights.
5. Installation, versions and updates
Download the entitled release through its licence page and follow the original package instructions. Check platform compatibility, instruments, dependencies and parameter changes. You control when to import an update; the website does not silently install it into your desktop.
Current entitlement includes available updates within the scope of the offer. It does not guarantee a release timetable, new features, compatibility with every environment or better trading results. Mandatory rights concerning conformity and updates are preserved. Keep release-specific instructions and test a change before deciding to resume live use.
6. Expiry, cancellation and free licences
A confirmed trial or paid licence ends at its applicable expiry unless a further entitlement is confirmed. Cancellation of paid renewal preserves the confirmed paid period; it does not itself revoke it immediately. Once paid entitlement ends, continued paid use and new paid updates require current access. A previously saved file is not a perpetual paid licence.
A separately issued permanent free licence does not become a paid trial solely because the marketing offer changes, or because an unrelated paid subscription ends. Permanent free means no scheduled licence expiry; it is not ownership, an unconditional support commitment or exemption from proportionate restrictions for misuse or legal requirements.
Downloaded files are not remotely deleted by a cancellation action. Do not assume an offline grace period, a specific licence-cache duration, immediate interruption of a running instance or automatic position liquidation. Native enforcement and running-order behaviour must follow the released product's tested instructions.
7. Access checks and review
The service checks purchase ownership, current entitlement and the product licence before confirming the corresponding paid download. Refunded, disputed or unauthorized access may require review and a native licence change. A payment return page alone is not a completed native licence confirmation.
If access is denied unexpectedly, contact support with the product, account email and exact message. Do not work around the issue using another person's package or account. Our access-management controls are separate from your order-management responsibilities.
8. Your trading environment
You choose and monitor the account, settings and operation. An entitlement, software update or expiry is not a broker instruction and does not promise to manage an open position. The same strategy release can produce different outcomes in different environments. Applicable consumer rights and remedies remain unaffected by these proposed licence conditions.
