1. Scope and operator
AlgoTrader LLC operates this strategy library and its account, licensing, download and support services. These proposed terms describe our current offer: our own compiled, protected NinjaTrader strategies that customers run independently. They are a draft, not a statement that an unreleased product is available or that this draft has been accepted as a binding contract.
A released offer must identify the applicable terms and price before purchase. The Software Licence Terms address use of a package; the Subscription Terms address free access, recurring billing and cancellation. Mandatory rights under applicable law take priority over conflicting language. A specific agreed order may add product requirements, but does not silently remove those rights.
2. The strategy-software service
We create and maintain the strategies and publish evaluation information. An entitled customer receives a compiled, protected package and available updates for the relevant offer. The customer selects their own native account, instruments and exposed settings and operates their own instance.
This offer does not include broker-account management, custody of trading funds, a trade-copying connection or a signal/replay subscription. Parked features are not included merely because code or historical documentation exists. Any future service requires its own released description and applicable terms.
We do not provide an individualized recommendation about your portfolio, account size or whether a strategy is suitable for you. The intended software-service description is not a representation that a regulator has approved AlgoTrader, its performance or any strategy.
3. Eligibility and account security
You must have the legal capacity to enter the applicable agreement and be permitted to use the service and your trading platform where you are located. The paid service is intended for adults. If you act for an organization, you must be authorized to do so.
Provide accurate account details, protect credentials and notify us of suspected unauthorized access. The current licensing flow requires the same verified email for AlgoTrader and your NinjaTrader identity. Mailbox verification is not NinjaTrader single sign-on or a merger of the accounts. A transfer to another licensed identity requires an ownership review.
4. Offers and availability
An offer may be permanent free access, a one-time trial, an individual strategy subscription or All Inclusive. Each strategy's current offer determines whether a free period exists. A free trial does not automatically become paid.
All Inclusive covers every current and future released AlgoTrader NinjaTrader strategy while library access is current, with no strategy-count limit. It is access for the verified native identity, not unlimited users or a resale programme. Other future service types are not included by implication.
A public backtest or pricing card does not mean a package is released or checkout enabled. Use only the available customer actions. Existing individual subscriptions are not automatically cancelled or credited when you purchase All Inclusive.
5. Platform and trading responsibilities
NinjaTrader Desktop, brokerage access, market data, connectivity and any hosted Windows environment are separate arrangements. Follow the release's platform requirements and operating instructions. We do not execute a broker order through a licence or billing button.
Review settings and test the release in simulation before deciding to use it in a live account. You are responsible for selecting and monitoring the account, instruments, orders and positions. A displayed website position or trade belongs to the published strategy data and is not confirmation of your own account activity.
Licence expiry, cancellation, a refund or a website outage does not promise automatic cancellation of orders, position liquidation or a safe stop of a running native strategy. Use the platform and brokerage controls for those decisions.
6. Performance information
Published histories and metrics describe the identified source, release and calculation assumptions. Backtests, forward/demo runs and model results have limitations and are not a guarantee. Receiving the same release does not ensure the same outcome: settings, data, costs, fills, leverage and connectivity can differ.
A trial or subscription fee buys software access, not a return, profit share or protection from trading losses. We may correct errors and update research, with the relevant history or release information identified where appropriate. Report a suspected factual error to support.
7. Payments and cancellation
Review the exact recurring charge, interval, scope and applicable purchase conditions before checkout. An explicit subscription purchase is required for paid access. Keep the purchase reference. Payment confirmation and native licence confirmation are separate steps.
Cancel individual renewal on the strategy's licence page and All Inclusive renewal on Pricing. Cancellation keeps the confirmed paid period until its end and does not itself issue a refund. Uninstalling, signing out or closing an account is not a substitute for cancelling renewal. Statutory withdrawal, refund and other mandatory remedies remain available where applicable.
8. Intellectual property and acceptable use
AlgoTrader and its licensors retain ownership of software, source code, protected content, design and marks. Licensed use does not transfer ownership. Follow the Software Licence Terms; do not share protected packages, resell access, impersonate another licensed identity or bypass access checks.
Do not access another person's account or data, disrupt the service, misrepresent performance, or use the service unlawfully. Restrictions do not remove activities or rights that applicable law makes nonwaivable. Reasonable technical access limits may be used to protect the service.
9. Support and information you provide
You retain rights in information you lawfully send to support. You permit the processing needed to answer the request, investigate an issue, protect the service and keep appropriate records. Do not send passwords, one-time codes, complete card details, private source code or another person's data without authority.
This service is not an open publisher marketplace. Sending material to support does not grant a public listing, publisher payout or revenue-share arrangement. Third-party publishing would require a separate agreement.
10. Third-party services
NinjaTrader supplies the native platform and its user-based licensing system. Stripe supplies the hosted payment process. Your broker, data provider, host and email provider have their own services, fees and terms. An AlgoTrader licence does not waive their requirements or imply endorsement by them.
Our use of a third-party provider does not exclude responsibility that applicable law places on AlgoTrader for its own service. Historical provider integrations are outside the current rental offer and do not make their old contractual or regulatory framework apply to this purchase.
11. Changes, service interruptions and suspension
Release notes describe technical changes. We may address bugs, security issues, incompatibility or misuse; we do not promise a particular feature schedule or trading outcome. Material changes to an existing paid offer must be communicated through an appropriate notice and handled consistently with the accepted purchase conditions and mandatory rights. Publishing a new price does not by itself change an existing confirmed paid period.
Access may be restricted where reasonably necessary for verified nonpayment, misuse, fraud, security or legal obligations. A disputed record should be reviewed rather than treated as proof solely because a check is temporarily unavailable. Where appropriate and lawful, we will explain the issue and available remedy. Ending access does not turn a downloaded package into an unlicensed perpetual copy.
12. Liability, mandatory rights and disputes
Software, platforms and data can fail. These terms do not guarantee continuous service or a trading outcome. They also do not exclude liability or consumer remedies that cannot lawfully be excluded.
This draft does not set a monetary liability cap, require customer indemnification, impose arbitration or a class-action waiver, or select a mandatory court. Those provisions and any governing-law choice must be settled for the intended markets before binding terms are released. Florida company organization does not itself settle every customer's applicable consumer law.
